2. Service Description
Noria Strata is a B2B software-as-a-service (SaaS) platform designed for natural stone quarry management. Our Services include, but are not limited to: LiDAR-based block scanning and inventory management, Spectral color matching and search capabilities, AI-powered visualization tools, Intelligent allocation and logistics features, Client portal for B2B customer access, Analytics and reporting dashboards, Mobile applications for field operations. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.
3. User Accounts
3.1
To access certain features of our Services, you must create an account. When registering, you agree to: Provide accurate, current, and complete information, Maintain and promptly update your account information, Keep your password secure and confidential, Accept responsibility for all activities under your account, Notify us immediately of any unauthorized access or security breaches.
3.2
We offer different account types with varying access levels and permissions. Organization administrators are responsible for managing user access within their accounts.

You shall not: Violate any applicable laws, regulations, or third-party rights, Attempt to gain unauthorized access to our systems or other users' accounts, Interfere with or disrupt the integrity or performance of the Services, Upload malicious code, viruses, or other harmful content, Scrape, crawl, or use automated means to access the Services without permission, Reverse engineer, decompile, or disassemble our software, Sublicense, resell, or redistribute the Services without authorization, Use the Services to store or transmit infringing or illegal content, Impersonate any person or entity or misrepresent your affiliation. We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending accounts, and reporting to law enforcement.
5. Intellectual Property Rights
5.1
The Services and all related content, features, and functionality (including but not limited to software, text, graphics, logos, images, and the design and arrangement thereof) are owned by Noria Group L.P. and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

"Noria Strata," our logo, and other marks are trademarks of Noria Group L.P. You may not use these marks without our prior written consent.

If you provide feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.
6. Data Ownership
6.1
You retain all ownership rights to the data, content, and materials you upload, submit, or make available through our Services ("User Data"). By using our Services, you grant us a limited license to process, store, and transmit User Data solely for the purpose of providing the Services.
6.2
We implement industry-standard security measures to protect User Data. However, you are responsible for maintaining the security of your account credentials and for any activities that occur under your account.

You may export your User Data at any time during your subscription period. Upon termination, we will provide a reasonable period for data export before deletion.

7. Subscription and Payment
7.1

Subscriptions are billed on a monthly or annual basis, as agreed in your subscription agreement. Annual subscriptions may be eligible for discounted pricing.
7.3
Payment is due within 30 days of invoice date unless otherwise specified in your agreement. We accept bank transfers and major credit cards. Late payments may incur interest charges.
7.4
We reserve the right to modify pricing with 60 days' notice. Price changes will not affect the current billing cycle for existing subscriptions.
7.5
Subscription fees are non-refundable except where required by law. Pro-rated credits may be issued at our discretion for service interruptions caused by us.
8. Service Availability
We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to: Scheduled maintenance (with advance notice when possible), Emergency repairs or security updates, Factors beyond our control (internet outages, natural disasters, etc.). Enterprise customers may negotiate Service Level Agreements (SLAs) with specific uptime guarantees and remedies.
9. Termination
9.1
You may terminate your subscription at any time by providing written notice. For annual subscriptions, termination will be effective at the end of the current billing period.
9.2
We may terminate or suspend your access to the Services immediately, without prior notice, if you: Breach these Terms, Fail to pay applicable fees, Engage in fraudulent or illegal activities, Use the Services in a manner that could damage or impair them.
9.3
Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days to allow for export, after which it will be deleted in accordance with our data retention policies.

11. Indemnification
You agree to indemnify, defend, and hold harmless Noria Group L.P. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: Your use of the Services, Your violation of these Terms, Your violation of any third-party rights, Your User Data or content submitted through the Services.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Hellenic Republic (Greece), without regard to its conflict of law provisions. For users within the European Union, nothing in these Terms shall limit any rights you may have under applicable EU consumer protection laws.
13. Dispute Resolution
13.1
Before initiating formal proceedings, you agree to first contact us at info@noria.gr to attempt informal resolution. We will work in good faith to resolve disputes within 30 days.

If informal resolution fails, any legal action or proceeding shall be brought exclusively in the courts of Athens, Greece. You consent to the jurisdiction of such courts and waive any objection to venue.
